These Terms & Conditions explain how Orchida Digital Services LLC (“Orchida,” “we,” “us”) provides custom motion graphics and video editing services through orchida-ods.com. Please read them together with our Cancellation & Refund Policy and Privacy Policy.
1. Our Services and Your Project Agreement
Our services include product ads, explainer videos, logo animation, and video editing. Submitting a request is free and does not create an order, payment obligation, or guarantee of acceptance. We discuss your requirements and provide a written quote or project agreement specifying the scope, deliverables, price, timeline, revision rounds, and any third-party costs. Work proceeds after you accept the agreement and the required payment is received. Any project-specific exceptions to these terms must be agreed in writing.
2. Concept Approval and Payments
We agree on the scope, price, concept, and initial script before requesting a deposit. Unless the written quote states otherwise, payment is split into a 50% deposit and a 50% final balance. Detailed storyboard development and production begin after the deposit, approvals, and required materials are received. Prices are in U.S. dollars unless otherwise stated; any applicable taxes or additional costs will be disclosed before you agree.
We provide a complete watermarked review version and the agreed revision rounds. The final balance is due after the agreed review and approval stage, before delivery of the unwatermarked final files. Review copies are for evaluation only and may not be published or used commercially. Payments are processed by third-party payment providers; do not send card details by email or WhatsApp.
3. Materials and Client Responsibilities
You are responsible for supplying accurate information, required materials, and consolidated feedback. You confirm that you have permission to use the logos, images, footage, scripts, voices, music, and other materials you provide, including any necessary consent from people represented in them. Tell us about confidentiality requirements and restrictions before sharing materials. Do not send passwords, payment details, or unnecessary sensitive information.
4. Timelines and Revisions
The timeline is confirmed for each project and begins when the required deposit, approvals, and materials have been received. Delayed feedback, missing materials, or agreed scope changes may move delivery dates; we will discuss an updated schedule with you.
The number of revision rounds and their scope are stated in the written quote. Corrections needed to meet the agreed scope are addressed as part of the project. A new concept, changes to an approved script or storyboard, extra scenes, additional formats, or other work outside the agreement may require an additional quote and time. We obtain your written agreement before charging for extra work. Silence does not count as approval. If a project becomes inactive, we will contact you before pausing it or proposing revised scheduling.
5. Digital Delivery
Services are delivered digitally; there is no physical shipping. Final files are supplied through a download link or another agreed method, in the formats and resolutions specified in the quote. Editable project files, raw assets, and source files are included only if expressly listed. Any download-link expiry or agreed file-retention period will be communicated at delivery.
6. Rights, Licenses, and AI-Assisted Work
You retain your rights in the materials you provide. Once full payment is received, you may use the agreed final deliverables for the commercial purposes specified in your project agreement. Any transfer of ownership or exclusive rights must be stated in that agreement. Pre-existing tools, templates, source files, and third-party materials are not automatically transferred; stock footage, fonts, music, and other licensed assets remain subject to their licenses.
We may use AI-assisted tools in our workflow. Any project-specific restrictions should be agreed before production. We do not promise that AI-generated elements are exclusive or eligible for copyright protection. We will discuss material licensing or usage restrictions relevant to your deliverables.
7. Confidentiality and Portfolio Use
We use non-public project materials to prepare and deliver your project and limit access to the people and providers needed for that work. Additional confidentiality arrangements can be agreed in writing. We request your permission before publishing your project, brand, or non-public materials in our portfolio or marketing.
8. Cancellations and Problems
Cancellations, refunds, and non-delivery concerns are handled under our Cancellation & Refund Policy. Contact us promptly if a file is faulty or the deliverables do not match the agreed scope. We do not guarantee a particular advertising result, number of sales, views, or platform approval.
9. Website Use and Updates
Use this website lawfully and do not interfere with its security, submit misleading information, or request work that infringes another person’s rights. Website content and portfolio examples may not be reused without permission. Updates to these terms apply prospectively; changes to an existing project require written agreement. Nothing in these policies limits rights that cannot lawfully be excluded.
